ShawKwei & Partners announces the successful privatization and delisting of Schramm
Hong Kong, 7 October 2011 – Shaw Kwei & Partners announces the successful privatization and
delisting of Schramm Holding AG (“Schramm”) from the Hong Kong Stock Exchange on 7 October 2011.
The delisting follows the US$201 million acquisition of Schramm by Akzo Nobel NV (“AkzoNobel”). The
buyout offer price was HK$78.70 per share or a 163% premium over the closing price for last trading day
(13 June 2011) of HK$29.90 per share. Shaw Kwei & Partners was Schramm’s 2nd largest shareholder
with just under 5% stake at the time of the acquisition.
Schramm, based in Germany, manufactures and markets coatings for plastics, metals and electrical
insulation. Schramm has a 200 year history in Germany’s coatings industry and expanded into China
during 2007 to 2009. Schramm’s revenue for 2010 totaled €115 million, with an EBITDA of €13.3 million.
Over half of Schramm’s business and sales are in China, and the rest in Europe. Schramm was listed on
the Hong Kong Stock Exchange in December 2009 and is the first German company to list in Hong Kong.
AkzoNobel is the largest global paints and coatings as well as a major producer of specialty chemicals.
